Terms of Service


Effective Date: January 7, 2025

Welcome to Yanance. Please read these Terms of Service (this “Agreement”) carefully before using our platform.

By signing up for, accessing, or using Yanance and its Services, you (“User,” “you,” or “your”) acknowledge and agree to be legally bound by this Agreement, which constitutes a binding contract between you and Yanance, Inc. (“Yanance,” “we,” “us,” or “our”), including all of its affiliates.

Your use of Yanance includes agreement to certain dispute resolution provisions, including the waiver of rights to a jury trial and participation in class actions, as further described in this Agreement.

If you do not agree with any part of this Agreement, you must not access or use Yanance or any of its Services.


1. Description of Services

Yanance provides the following core offerings:

  • Peer-to-Peer Marketplace (“Marketplace”): A platform where users may buy and sell supported digital assets (e.g., Bitcoin, Ether, Litecoin, Tether, Dogecoin, and other cryptocurrencies supported by Yanance) directly with one another using various payment methods.

  • Hosted Digital Wallet (“Yanance Account” or “Account”): A service that enables users to store, send, and receive supported digital assets securely.

Together, these offerings, along with any additional services that may be introduced from time to time, are referred to collectively as the “Services.”

Use of Yanance is also governed by our [Privacy Policy] and [Cookie Policy], which are incorporated into this Agreement by reference.


2. Regulatory Compliance

By using Yanance, you agree to comply with all applicable laws, regulations, and regulatory requirements, including but not limited to:

  • Financial Crimes Enforcement Network (FinCEN) Money Services Business (MSB) regulations

  • The U.S. Bank Secrecy Act (BSA)

  • The USA PATRIOT Act

  • Anti-Money Laundering (AML) and Combating the Financing of Terrorism (CFT) laws

  • Office of Foreign Assets Control (OFAC) sanctions programs

  • Any other applicable domestic or international legal or regulatory requirements

You must not use Yanance for any unlawful, fraudulent, or prohibited purposes, including money laundering, terrorist financing, or sanctions evasion. Any such use is strictly prohibited.

3. Risk Disclaimer

Important Notice:
Digital assets are highly volatile and subject to significant fluctuations in value. Trading, holding, or transacting in digital assets carries substantial risk, including the potential for total loss of your investment.

You are solely responsible for evaluating the suitability of any digital asset transaction for yourself and for all risks associated with your use of the Services.

Yanance does not guarantee that its Services are legal or permitted in every jurisdiction. Access to the Services may be restricted, suspended, or terminated at any time due to regulatory requirements, changes in law, or internal policies. Yanance shall not be liable for any losses, damages, or other consequences resulting from such restrictions or account suspensions.


4. Marketplace Terms

Yanance operates a peer-to-peer Marketplace, where all transactions occur directly between buyers and sellers.

  • Users are solely responsible for agreeing upon payment methods and ensuring the legality and proper execution of those methods.

  • Yanance is not a payment processor and does not handle, transfer, or hold fiat funds on behalf of users.

Transaction Process:

  1. When an offer is accepted, the Seller’s digital assets are temporarily secured in Yanance’s Escrow System.

  2. Assets are released to the Buyer once the Seller confirms receipt of payment.

  3. If the Buyer cancels, the locked assets are automatically returned to the Seller.

  4. Sellers cannot cancel a transaction after it has been accepted; however, they may unlock assets or initiate a dispute where applicable.

Yanance is not a party to transactions between users and assumes no responsibility for their execution, completion, or enforceability.


5. Digital Wallet (Yanance Account)

The Yanance Account provides users with a hosted digital wallet to:

  • Store supported digital assets

  • Send and receive supported digital assets through external blockchain networks

Key Considerations:

  • All blockchain transactions are conducted on external networks beyond Yanance’s control. We do not guarantee the successful, timely, or error-free completion of such transactions.

  • Yanance may refuse or block transactions if required by law, regulation, or this Agreement.

  • You are fully responsible for all activity associated with your Account, including activity resulting from unauthorized access.

  • Yanance reserves the right to charge inactivity fees on dormant Accounts, at our sole discretion, after prolonged periods of no use.


6. Modifications to this Agreement

Yanance reserves the right to amend, update, or otherwise modify this Agreement at any time, for reasons including but not limited to legal, regulatory, or operational requirements.

  • Any changes will take effect immediately upon posting to the Yanance platform, unless otherwise stated.

  • Continued use of the Services after such changes constitutes your acceptance of the revised Agreement.

  • Where appropriate, Yanance may provide notice of material changes via email (if provided) or through the platform.

The most current version of this Agreement will supersede all prior versions.


7. Service Availability and Termination

Yanance may, at its sole discretion, restrict, suspend, or terminate access to any portion of the Services at any time.

  • Services may be modified, discontinued, or limited without prior notice.

  • Accounts may be frozen, suspended, or closed if required by law, regulatory obligations, or if we determine that continued use poses legal, operational, or security risks.

  • Yanance shall not be liable for any losses or damages arising from service restrictions, account suspensions, or closures.


8. Jurisdictional Limitations

Yanance Services are not available where prohibited by law. Access and usage restrictions may apply based on your jurisdiction, legal status, or other risk factors.

Yanance reserves the right to refuse service, restrict access, or terminate Accounts in order to comply with applicable laws and risk management policies.


9. Disputes Between Users

  • If a Buyer fails to comply with agreed transaction terms, the Seller must initiate a dispute and provide supporting evidence.

  • Yanance may, at its discretion, assist in facilitating dispute resolution. However, Yanance makes no guarantees regarding dispute outcomes and assumes no liability for any decision or resolution process.

1. General Terms

1.1 Review and Acceptance

You are responsible for carefully reviewing this Agreement and for periodically checking for updates published on the Yanance website. Your continued use of the Services constitutes your acceptance of the most current version of this Agreement.

1.2 No Waiver

Any failure or delay by Yanance in enforcing a term or provision of this Agreement shall not be deemed a waiver of our rights, remedies, or ability to enforce such provision in the future.


2. Account Registration and Use

2.1 Eligibility and Information Collection

To access and use the Services, you must first register for a Yanance Account. During registration, you may be required to provide personal information, including but not limited to your full name, address, and government-issued identification for identity verification.

Yanance reserves the right, in its sole discretion, to deny or terminate an Account.

By registering, you represent and warrant that:

  • You are of legal age and capacity in your jurisdiction to enter into this Agreement.

  • You have not been previously suspended or banned from using Yanance or its Services.


2.2 Account Use Restrictions

You agree to use your Yanance Account solely for your personal use. Unless expressly authorized by Yanance, you may not act as an intermediary, broker, or agent on behalf of others.

Additional restrictions:

  • You may maintain only one Account.

  • You may not sell, transfer, or share your Account or login credentials with anyone.

  • You are solely responsible for safeguarding your access credentials, including usernames, passwords, email accounts, two-factor authentication codes, and related data.

  • Accounts containing false, misleading, or fraudulent information — including falsified residency or identity documents — are strictly prohibited and subject to termination.


2.3 Identity Verification and Compliance

You agree to provide all information required for compliance with anti-money laundering (AML), counter-terrorist financing (CTF), fraud prevention, and other legal obligations. Such information may include, without limitation:

  • Full name, date of birth, address, and contact details

  • Social Security Number or Tax Identification Number (where applicable)

  • Government-issued identification or other supporting documents

You certify that all information you provide is accurate, complete, and not misleading. You agree to promptly update Yanance if your information changes.

You authorize Yanance to verify your identity directly or through third-party service providers and acknowledge that your information may be disclosed to credit agencies, fraud-prevention authorities, or regulators, in accordance with applicable law.


2.4 Corporate Accounts

If registering on behalf of a legal entity, you represent and warrant that:

  • The entity is duly incorporated, validly existing, and in good standing under the laws of its jurisdiction.

  • You are authorized to act on its behalf.

Corporate-verified Accounts must only be accessed and operated by designated employees who have been disclosed to and approved by Yanance.

Restrictions include:

  • Only one active offer per corporate entity may exist for the same transaction at any given time.

  • Corporate Accounts must not be shared across multiple entities or personnel without Yanance’s authorization.


2.5 Account Security

You are fully responsible for:

  • Maintaining a strong and unique password.

  • Securing all credentials, devices, and authentication methods used to access Yanance.

  • Keeping your registered contact details (e.g., email, phone number) accurate and up to date.

Yanance shall not be liable for unauthorized access, account breaches, or loss of digital assets resulting from your failure to maintain adequate security. Do not permit third-party remote access while logged into your Account.


2.6 Legal Responsibilities by Jurisdiction

You are solely responsible for understanding and complying with the laws and regulations that apply to your use of Yanance in your jurisdiction. By accessing Yanance, you confirm that you:

  • Have reviewed and understand your local regulatory obligations.

  • Are not located in, or subject to, a jurisdiction where Yanance’s Services are restricted or prohibited.


2.7 Restricted Jurisdictions

Yanance does not offer Services in certain jurisdictions due to legal or regulatory restrictions.

  • Please refer to our official List of Banned Countries for current restrictions.

  • Yanance’s Services may not be available in certain U.S. states or for specific assets (for example, USDT transactions are not supported in Texas).

  • You must not attempt to access Yanance from a restricted jurisdiction or use false information, VPNs, or other methods to bypass restrictions.

3. Legal Actions Involving Your Account

3.1 Freezing or Suspension

Yanance reserves the right to immediately suspend, freeze, or restrict access to your Account if required by law, regulation, legal process, or investigation. Digital assets held in your Account may be frozen, forfeited, or permanently seized by competent authorities in accordance with applicable law.

3.2 Compliance with Legal Orders

Yanance may restrict, delay, or block withdrawals, transfers, or transactions in your Account if necessary to comply with valid court orders, subpoenas, investigations, or enforcement actions. Yanance will not represent or contest legal proceedings on your behalf and assumes no liability for actions taken in compliance with lawful directives.


4. Binding Arbitration and Dispute Resolution

4.1 Waiver of Jury Trial

By agreeing to this Agreement, you and Yanance waive the right to a court trial or jury trial. All disputes, claims, or controversies will be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

4.2 Class Action Waiver

All claims must be resolved on an individual basis. You and Yanance agree not to bring or participate in any class action, collective action, private attorney general action, or other representative proceeding. The arbitrator has no authority to consolidate claims or preside over class arbitrations.

4.3 Arbitration Process

  • Arbitration will be conducted in the State of Delaware, in English, under the Federal Arbitration Act (FAA).

  • A single, neutral arbitrator will resolve the dispute.

  • The arbitrator may award any relief available in court, including attorneys’ fees where applicable.

  • The arbitrator’s decision is final, binding, and enforceable in any court with jurisdiction.

4.4 Arbitration Fees

If the dispute involves USD $20,000 or less, Yanance will pay all AAA arbitration filing and administrative fees, except where:

  • Yanance prevails in the arbitration; or

  • You voluntarily withdraw the claim.

In all cases, you remain responsible for your own legal costs, including attorneys’ fees, expert witness fees, and related expenses, unless otherwise awarded by the arbitrator.

4.5 Initiating Arbitration

To initiate arbitration, you must:

  1. Complete and submit a Demand for Arbitration detailing the claim and the relief sought.

  2. File the Demand with the AAA, along with the applicable filing fee.

  3. Send a copy of the Demand to the opposing party at the address provided in the Dispute Notice, unless otherwise agreed.

Arbitration may be conducted:

  • In person,

  • By telephone or video conference, or

  • Solely on the basis of written submissions, at the arbitrator’s discretion.

4.6 Arbitration Filing Instructions

4.7 Exclusive Venue for Arbitration-Related Proceedings

Any legal proceedings relating to compelling arbitration, confirming or vacating an arbitration award, or seeking interim relief shall be brought exclusively in the state or federal courts located in Delaware, USA.

4.8 Small Claims Court

You may bring an individual claim in the small claims court of your state or municipality, provided the claim is within the jurisdiction of that court and does not involve consolidated or class claims.


5. Privacy & Security

5.1 Data Security

Yanance is committed to protecting your personal information and employs reasonable administrative, technical, and physical safeguards to do so. However, no method of data transmission or storage is completely secure. By using the Services, you acknowledge the inherent risks of online data transmission and agree that Yanance is not liable for any unauthorized access or breach unless directly caused by Yanance’s gross negligence or willful misconduct.

6. Disclaimers, Limitations of Liability, and Risk Assumptions

6.1 No Warranty

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Yanance expressly disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Yanance does not guarantee uninterrupted, secure, or error-free access to the Services. By using the platform, you acknowledge and accept the inherent risks associated with digital assets, including (but not limited to):

  • Hardware or software failures

  • Malicious attacks, hacking, or third-party interference

  • Server outages or downtime

  • Internet disruptions

6.2 Limitation of Liability

To the fullest extent permitted by law:

  • In no event shall Yanance, its affiliates, partners, employees, officers, or agents be liable for an amount greater than the total fees you paid to Yanance in the 12 months preceding the event giving rise to the claim.

  • Yanance shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, lost revenue, or data loss), even if advised of the possibility of such damages.

This limitation does not apply to damages resulting from Yanance’s gross negligence, fraud, willful misconduct, or intentional violations of law.

6.3 Protocol Risk Disclaimer

Yanance does not own or control the underlying blockchain protocols that support digital assets. These protocols are typically open-source and subject to change (e.g., hard forks or protocol upgrades) which may materially affect the availability, functionality, or value of an asset. You are solely responsible for monitoring protocol developments and evaluating related risks.

6.4 No Financial or Investment Advice

Yanance does not provide legal, tax, accounting, or investment advice and is not registered as a broker, dealer, or investment adviser with the U.S. Securities and Exchange Commission (SEC) or any other regulatory authority.

All transactions conducted on Yanance are peer-to-peer. You are solely responsible for determining whether such transactions are suitable for you. Any educational materials provided by Yanance are for informational purposes only and should not be relied upon as financial advice.

6.5 Price Fluctuation and Force Majeure

Yanance is not responsible for any losses arising from price volatility of digital assets.

In the event of a market disruption or force majeure event (including but not limited to natural disasters, government actions, power failures, network outages, cyberattacks, or other events beyond Yanance’s control), Yanance may suspend or modify its Services without liability. Following such events, exchange rates and market conditions may differ substantially from those prior to the disruption.

6.6 Website Availability

Yanance does not guarantee that the website, applications, or Services will be free from errors, viruses, or harmful components. Yanance is not responsible for any damages or losses arising from reliance on platform content, technical errors, downtime, or interruptions in Service.


7. Release and Indemnity

7.1 Release

If you have a dispute with another user, you hereby release Yanance and its affiliates, officers, directors, employees, and agents from all claims, demands, and damages (actual or consequential) of every kind, known and unknown, arising out of or in any way related to such dispute.

7.2 Indemnity

You agree to indemnify, defend, and hold harmless Yanance, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of this Agreement

  • Your violation of any applicable law or regulation

  • Your infringement of any third-party rights (including intellectual property or privacy rights)

  • Your misuse of the Services


8. Transactions on the Yanance Marketplace

The Yanance platform facilitates peer-to-peer transactions for the purchase and sale of digital assets. All Marketplace transactions are subject to this Agreement, Yanance’s Dispute Policy, and any specific terms defined by the users involved.

8.1 Buying Digital Assets

  • Yanance does not charge buyers fees for using its escrow system.

  • Each Seller sets their own terms, including exchange rates, payment methods, and processing times.

  • Buyers must carefully review and comply with the Seller’s posted terms. Failure to do so may result in rejection of payment and loss of eligibility for dispute resolution.

⚠️ Warning: If you submit payment without following the Seller’s terms, Yanance may not be able to assist in recovering your funds.

8.2 Dispute Resolution (Buyer’s Side)

  • If a Seller fails to release digital assets after you have fulfilled the agreed terms, you must promptly initiate a dispute by using the “Dispute” button within the transaction chat.

  • Yanance’s support team will review and attempt to resolve disputes in accordance with its Dispute Policy.

  • Failure to follow the required dispute process may prevent Yanance from assisting with resolution.

8.3 Selling Digital Assets

  • Sellers must promptly verify and process Buyer payments in accordance with their posted terms.

  • Once verified, Sellers are solely responsible for releasing digital assets held in escrow to the Buyer.

  • If a Seller fails to release assets after payment confirmation, the Seller may forfeit rights to those assets and risk Account suspension or termination.

  • 8.4 Seller Responsibilities

  • Risk and Liability
    As a Seller, you are fully responsible for any violations of this Agreement arising from your sale of Digital Assets. You are solely responsible for complying with all applicable tax laws and for paying any associated taxes.

  • Escrow Fees
    Yanance charges Sellers a fee for locking Digital Assets in escrow during a transaction. These fees are non-refundable, including in cases of fraud, disputes, or violations of this Agreement, unless Yanance decides otherwise at its sole discretion.

  • Payment Confirmation
    Sellers must confirm full receipt and verification of Buyer payment before releasing Digital Assets from escrow. Yanance is not liable for losses caused by prematurely releasing funds without proper verification. Sellers must remain responsive during transactions and are required to deactivate inactive offers.

  • Advertising Restrictions
    Sellers may not promote external websites, services, or contact information in any part of the Yanance Marketplace (including bios, offer terms, or transaction chats).
    Only links to legitimate third-party payment processors used to complete a transaction are permitted, provided they are clearly referenced in the offer terms. These links must not include ads, promotional content, or unrelated information.


8.5 Compliance

  • No Affiliation with Third Parties
    Yanance and its Services are not affiliated with, endorsed, or sponsored by any third-party companies, including gift card issuers. All brand names and trademarks remain the property of their respective owners.

  • Gift Card Restrictions
    Yanance is not a licensed distributor or authorized dealer of gift cards. Any gift cards exchanged on the platform remain subject to the issuing merchant’s terms and conditions. Yanance assumes no responsibility for fees, expiration dates, restrictions, or other conditions imposed by third parties.
    You must be the lawful owner of any gift card used on the platform and legally eligible to use it.

  • No Brokering or Reselling
    You may not broker, trade, or resell gift cards on Yanance. Upon request, you must provide proof of ownership (e.g., receipts or purchase records). Yanance makes no guarantees regarding third-party payment processor support or compatibility.

  • Platform Exclusivity
    All transactions must occur within Yanance’s platform. Off-platform transactions, including the exchange of personal contact details, are strictly prohibited.


8.6–8.18 Additional Marketplace Terms

8.6 Transfer Limits

Yanance reserves the right, at its sole discretion, to impose limits on the amount, frequency, or type of transfer transactions.

8.7 No Guarantee of Sale

Yanance does not guarantee that your Digital Assets will be bought, sold, or exchanged on the Marketplace.

8.8 Independent Relationship

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and Yanance.

8.9 Accuracy of Information

You are solely responsible for ensuring the accuracy of all information you provide. Yanance is not liable for losses caused by your mistakes, including mis-typed wallet addresses or incorrect transaction details.

8.10 Irreversible Transactions

Once submitted to a blockchain network, transactions are final and irreversible. Yanance cannot cancel, modify, or retrieve Digital Assets once they are broadcast to a blockchain.

8.11 Taxes

You are solely responsible for determining, reporting, and paying all applicable taxes resulting from your use of Yanance and your digital currency transactions.

8.12 User Reputation

Yanance may allow users to leave feedback, ratings, or submit confidential reports regarding other users’ conduct. Yanance may take action on such reports at its sole discretion.

8.13 Transaction History

Your transaction history will be available in your account records. Lack of an immediate confirmation does not invalidate a transaction once completed on the blockchain.

8.14 Yanance Pay

Authorized Merchants may accept Yanance Pay as a method of payment. Your payment may draw directly from your Digital Assets or connect you with a Seller via escrow.

8.15 Merchant Liability

Yanance is not responsible for the quality, delivery, or legality of any product or service you purchase from an Authorized Merchant. Any disputes must be resolved directly with the Merchant.

8.16 Refunds

All transactions on Yanance are final. Refunds, if any, are provided solely at the discretion of the Authorized Merchant.

8.17 Service Fees

Yanance may charge fees for use of its Services. Applicable fees will be disclosed prior to transaction execution. Yanance reserves the right to update its fee schedule at any time.

8.18 Banned Accounts & Maintenance Fee

If your account is banned, you must withdraw your entire Digital Asset balance within 90 days. Failure to do so will result in a monthly maintenance fee equal to 1% of the total asset value or $1.00 USD, whichever is greater.

  • 9. Disputing Transactions

    9.1 Eligibility

    Either party may initiate a dispute for a transaction that has been marked as “paid” by the Buyer. Disputes cannot be opened for transactions that are canceled, expired, released, or previously resolved.

    9.2 Process

    To initiate a dispute:

  • Log in to your account and click “Dispute” on the transaction.

  • Select the reason (e.g., unresponsive counterparty, payment issue).

  • Provide a detailed description and submit all relevant evidence.

9.3 Instructions

Yanance may request additional proof during the dispute process. Failure to comply with such requests may result in a decision against you.

9.4 Responsiveness

Parties must remain responsive during a transaction and dispute process. Failure to reply to Yanance Support within the required timeframe may result in an automatic decision against the non-responsive party.

9.5 Chargebacks

Yanance is not responsible for chargebacks or reversals initiated through external payment methods, even if a dispute on Yanance has already been resolved.

9.6 Outcomes

  • Buyer Wins if payment is proven, if the Seller is unresponsive, or if funds were mistakenly sent to a third party.

  • Seller Wins if the Buyer fails to make payment, makes only partial payment, initiates an external dispute, or is unresponsive.

  • Fraudulent or False Claims will result in an immediate ruling against the offending party and may lead to account suspension or termination.

  • Split Decision: If evidence is inconclusive, Yanance may, at its discretion, divide the disputed Digital Assets between the parties.

9.7 Appeals

You may appeal a dispute decision within 10 calendar days by submitting a written request along with supporting evidence.

9.8 Finality

All dispute resolutions are final and binding. Yanance is not liable for any outcomes of the dispute resolution process.


10. Yanance Service Fees

Creating a wallet on Yanance is free. Service fees are applied where disclosed prior to use. Fees are subject to change at Yanance’s sole discretion and may be updated without prior notice.


11. No Right to Cancel Transactions

Once confirmed, blockchain transactions and Yanance Services cannot be canceled or reversed. This includes, but is not limited to, miner fees, network costs, and escrow releases.


12. Modification or Discontinuation of Services

Yanance may modify, suspend, or discontinue any aspect of its Services at any time, with or without prior notice. Yanance is not liable for any modification, suspension, or discontinuation of Services.


13. Suspension or Termination

13.1 Grounds for Action

Yanance may suspend, restrict, or terminate your account or access to Services under the following circumstances:

  • Compliance with applicable law, regulation, or court order;

  • Suspected or actual violation of this Agreement;

  • Ongoing or pending investigations;

  • Incompatibility with service providers or business partners;

  • Security threats, risk management concerns, or technical issues.

13.2 Notice

Yanance will make reasonable efforts to notify you of suspension or termination unless prohibited by law. Yanance is not obligated to disclose details of its internal risk management or security processes.

13.3 Dormant Accounts

Accounts deemed inactive for the period defined by applicable law may be classified as unclaimed property and reported to the relevant authority. Yanance may deduct reasonable administrative fees from dormant accounts as permitted by law.

13.4 Mistaken Transfers

If Digital Assets are credited to your account in error, Yanance may reverse or adjust the transaction once sufficient proof is provided by the original sender. You agree to promptly cooperate in correcting such errors.

14. Prohibited Use & Activities

When using Yanance Services, you agree to act lawfully, ethically, and in good faith. You must not use the Services for any unlawful, abusive, or fraudulent purposes, nor may you violate applicable laws, third-party rights, or Yanance’s rules.

14.1 Service Disruption

You may not use the Services in any way that interferes with, disrupts, or negatively impacts other users or the functioning of the platform. This includes actions that could damage, disable, overload, or impair Yanance’s systems.

14.2 Illegal Activities
