Welcome to Yanance. Please read these Terms of Service ("Agreement") carefully before using our platform.

By signing up for and accessing Yanance and its Services, you (“User” or “you”) acknowledge and agree to be legally bound by this Agreement, which constitutes a contract between you and Yanance, Inc. (“Yanance”, “we”, “us”, or “our”), including all of its affiliates. Your use of Yanance means you agree to waive certain legal rights, including the right to a jury trial and class action participation.
If you do not agree with any of these terms, do not access or use Yanance or any of its Services.


1. Description of Services

Yanance provides two core offerings:

  • Peer-to-Peer Marketplace (“Marketplace”): A platform where users can buy and sell digital assets (e.g., Bitcoin, Ether, Litecoin, Tether, Dogecoin, and other supported cryptocurrencies) directly with one another using various payment methods.

  • Hosted Digital Wallet (“Yanance Account” or “Account”): A service enabling users to store, send, and receive supported digital assets.

Collectively, these and any additional services described herein are referred to as the “Services.”

Use of Yanance is also governed by our Privacy Policy and Cookie Policy.


2. Regulatory Compliance

By using Yanance, you agree to comply with all applicable laws and regulations, including but not limited to:

  • Financial Crimes Enforcement Network (FinCEN) MSB regulations

  • U.S. Bank Secrecy Act (BSA)

  • USA PATRIOT Act

  • Anti-Money Laundering (AML) / Combating the Financing of Terrorism (CFT) laws

  • Office of Foreign Assets Control (OFAC) sanctions

  • Any other applicable domestic or international regulatory requirements

Use of Yanance in violation of applicable laws is strictly prohibited.


3. Risk Disclaimer

IMPORTANT:
The value of digital assets is highly volatile and can fluctuate significantly. Engaging in digital asset trading or holding involves substantial risk, including the possibility of losing your investment.
You are solely responsible for evaluating the suitability of such transactions for yourself.

Yanance does not guarantee the legality of services in all jurisdictions. Access to our Services may be restricted or terminated at our discretion due to regulatory requirements or internal policies. We are not liable for any resulting losses or damages from such restrictions or account suspensions.


4. Marketplace Terms

  • Yanance operates a peer-to-peer Marketplace. All transactions occur directly between buyers and sellers.

  • Users must agree on payment methods and are fully responsible for ensuring legality and proper execution.

  • Yanance is not a payment processor. We do not handle funds transferred between users.

When an offer is accepted:

  • The Seller’s digital assets are temporarily locked via our Yanance Escrow system.

  • Assets are released to the Buyer once payment is confirmed by the Seller.

  • If the Buyer cancels, the locked assets are returned to the Seller.

  • Sellers cannot cancel a transaction; they may unlock assets or open a dispute if necessary.

  • Yanance is not a party to any transaction between users and is not responsible for its execution.


5. Digital Wallet (Yanance Account)

The Yanance Account allows users to:

  • Store supported digital assets

  • Send and receive digital assets via external blockchain networks

Key Considerations:

  • All blockchain transactions occur externally to Yanance; we do not guarantee successful or timely transaction processing.

  • We may refuse transactions if required by law or due to violations of these terms.

  • You are fully responsible for activity within your account, including unauthorized access.

  • Inactivity fees may apply after prolonged periods of no use, at Yanance’s discretion.


6. Modifications to the Agreement

We reserve the right to update or modify this Agreement at any time:

  • Changes may be made for legal, regulatory, or operational reasons.

  • Continued use of our Services after changes constitutes your acceptance of the updated Agreement.

  • Where appropriate, we may notify you of significant changes via email (if provided) or through the website.

The most current version of the Agreement will supersede all previous versions.


7. Service Availability and Termination

Yanance may restrict or terminate access to any part of the Services at our sole discretion:

  • Services may be discontinued or limited without prior notice.

  • Your account may be suspended, frozen, or closed if required by regulatory policy or if we determine that continued service poses legal or operational risks.

  • Yanance is not liable for losses due to restriction, suspension, or closure of services.


8. Jurisdictional Limitations

Yanance Services are not available where prohibited by law. Access and usage restrictions may be based on your location, legal status, or other risk factors. We reserve the right to reject users or restrict access based on these criteria.


9. Disputes Between Users

  • If a Buyer violates the transaction terms, the Seller must open a dispute and provide justification.

  • Yanance may assist in dispute resolution, but makes no guarantees and assumes no liability for outcomes.

1. General Terms

1.1 Review and Acceptance

You are responsible for carefully reviewing this Agreement and periodically checking for updates posted on the Yanance website. Continued use of our Services constitutes your ongoing acceptance of the most recent version of the Agreement.

1.2 No Waiver

A failure or delay by Yanance in enforcing any term or provision of this Agreement shall not constitute a waiver of our rights, remedies, or legal enforcement.


2. Account Registration and Use

2.1 Eligibility and Information Collection

To access and use our Services, you must first register for a Yanance Account. During registration, you are required to provide certain personal information, including but not limited to your full name, address, and government-issued identification for identity verification.
Yanance reserves the right, at its sole discretion, to deny or terminate account creation.

By registering, you confirm that:

  • You are of legal age and capacity in your jurisdiction to enter into this Agreement.

  • You have not previously been suspended or banned from using our Services.

2.2 Account Use Restrictions

You agree to use your Yanance Account solely for your personal use. You may not act as an intermediary or broker on behalf of others unless explicitly authorized by Yanance. You are permitted to maintain only one account, and must not share, sell, or otherwise transfer your login credentials to anyone.

You are solely responsible for safeguarding your access credentials including usernames, passwords, email accounts, two-factor authentication codes, and related access data.
Accounts containing misleading, false, or fraudulent information — including falsified residency or identity documents — are strictly prohibited and may be terminated.

2.3 Identity Verification and Compliance

You agree to provide all information required for compliance with anti-money laundering (AML), counter-terrorist financing (CTF), fraud prevention, and other legal obligations. This includes, but is not limited to, your:

  • Full name, date of birth, address, contact details

  • Social Security Number or Tax ID (where applicable)

  • Government-issued ID or other documents as required

You certify that the information provided is accurate, complete, and not misleading. You agree to promptly update us if any changes occur.

You authorize us to verify your identity, directly or via third-party services, and understand that your personal information may be disclosed to credit agencies or fraud prevention authorities in accordance with applicable law.

2.4 Corporate Accounts

If registering on behalf of a corporate entity, you represent and warrant that:

  • The entity is duly formed and legally valid in its jurisdiction

  • You are authorized to act on its behalf

Corporate-verified accounts must only be used by designated employees disclosed and approved by Yanance.
Restrictions include:

  • Only one active offer for the same transaction per corporate entity at any given time

  • Corporate Accounts must not be shared across entities or personnel without authorization

2.5 Account Security

You are fully responsible for:

  • Maintaining a strong password

  • Securing all credentials and devices used to access Yanance

  • Keeping your contact details (email, phone number) up to date

Yanance is not liable for any unauthorized access, loss, or theft of digital assets due to your failure to maintain adequate account security. Never allow third-party remote access while logged into your account.

2.6 Legal Responsibilities by Jurisdiction

You are solely responsible for understanding and complying with local laws and regulations applicable to your use of our Services. By using Yanance, you confirm that you:

  • Have reviewed your local regulatory obligations

  • Are not located in or governed by any jurisdiction where our Services are restricted

2.7 Restricted Jurisdictions

Yanance does not offer Services in certain jurisdictions due to legal or regulatory restrictions.

  • Refer to our official “List of Banned Countries” for current restrictions

  • Our Services are not available to users in certain U.S. states or for specific assets (e.g., USDT in Texas)

  • Do not attempt to access Services from a restricted jurisdiction or bypass restrictions using VPNs or false information


3. Legal Actions Involving Your Account

3.1 Freezing or Suspension

Yanance reserves the right to immediately suspend or restrict access to your account if required by legal process or investigation. Digital assets held in your account may be frozen, forfeited, or permanently seized by competent authorities.

3.2 Compliance with Legal Orders

We may restrict account withdrawals or transfers if required to comply with court orders or enforcement actions. Yanance will not contest legal proceedings on your behalf and assumes no liability in complying with lawful directives.


4. Binding Arbitration and Dispute Resolution

4.1 Waiver of Jury Trial

By agreeing to these Terms, you and Yanance waive the right to a court trial or jury. Disputes will be resolved through binding arbitration, subject to the rules of the American Arbitration Association (AAA).

4.2 Class Action Waiver

All claims must be resolved individually. You and Yanance agree not to bring or participate in any class, collective, or representative actions. The arbitrator may not consolidate multiple claims or preside over any class arbitration.

4.3 Arbitration Process

  • Arbitration will be conducted in the State of Delaware, in English, under the Federal Arbitration Act.

  • A single, neutral arbitrator will resolve the dispute.

  • The arbitrator may award the same remedies as a court, including attorneys’ fees where applicable.

  • The arbitrator’s decision is binding and may be enforced in any court.

4.4 Arbitration Fees

If the amount in dispute is $20,000 USD or less, Yanance will cover all AAA arbitration fees unless:

  • Yanance prevails in the dispute

  • You voluntarily withdraw the arbitration
    You are responsible for all other personal legal costs (attorney fees, expert witnesses, etc.).

4.5 Initiating Arbitration

To initiate a dispute:

  1. Draft a Demand for Arbitration, detailing the issue and damages sought

  2. Submit the form to AAA and include the filing fee


4.5 Arbitration Filing Instructions

To initiate arbitration with the American Arbitration Association (AAA), you may:

  • Mail your case to:

  • File online via AAA WebFile at https://www.adr.org

  • Submit your case in person at any AAA office.

You must also send a copy of the Demand for Arbitration to the opposing party at the address used for the Dispute Notice, unless the parties have agreed to another method.

4.5.3. Upon your request, arbitration hearings may be conducted in person or by phone. The arbitrator may also rule on motions based solely on written briefs, without oral hearings.


4.6 Exclusive Venue for Arbitration-Related Proceedings

You and Yanance agree that any legal proceedings related to compelling arbitration, confirming an arbitral award, or seeking interim relief must be filed exclusively in the appropriate state or federal courts located in Delaware, USA.


4.7 Small Claims Court

You may bring a claim in the small claims court of your state or municipality, provided the claim falls within the jurisdiction of that court and remains solely within its jurisdiction.


5. Privacy & Security

5.1 We are committed to protecting your personal information and take reasonable measures to do so. However, we cannot guarantee the security of data transmitted online. By using our services, you acknowledge the inherent risks of online data transmission and agree not to hold Yanance responsible for any security breach unless caused by our gross negligence.

6. Disclaimers, Limitations of Liability & Risk Assumptions

6.1 No Warranty
The Services are provided "as is" and "as available," without warranties of any kind—express, implied, or statutory. To the fullest extent permitted by law, Yanance disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free access to the platform.

By using our platform, you accept the inherent risks associated with digital assets, including but not limited to: hardware or software failure, malicious attacks, third-party interference, server outages, and internet disruptions.

6.2 Limitation of Liability
In no event shall Yanance or its affiliates, partners, employees, or agents be liable for:

  • More than the total fees you paid to Yanance in the 12 months prior to the event giving rise to the claim;

  • Any indirect, special, incidental, punitive, or consequential damages (e.g., lost profits, data loss), even if informed of their possibility.

This limitation does not apply to damages resulting from Yanance’s gross negligence, fraud, willful misconduct, or intentional law violations.

6.3 Protocol Risk Disclaimer
Yanance does not control the blockchain protocols underlying digital assets. These are typically open-source and subject to change (e.g., forks). Such changes can impact the value, availability, or function of an asset. You are responsible for staying informed about such changes.

6.5 No Financial Advice
Yanance does not provide legal, tax, or investment advice and is not registered with the U.S. SEC. All transactions on Yanance are peer-to-peer, and you are solely responsible for assessing their suitability. Educational content we may provide should not be treated as investment guidance.

6.6 Price Fluctuation and Force Majeure
We are not liable for any price volatility. In the event of market disruption or a force majeure event, we may suspend services without liability. Post-event rates may significantly differ from prior rates.

6.7 Website Availability
We do not guarantee the website will be free of viruses or errors. Yanance is not responsible for any loss or damage arising from reliance on materials on the site or any interruptions in service.


7. Release & Indemnity

7.1 If you have a dispute with another user, you release Yanance and its affiliates, officers, employees, and agents from all claims and damages arising from such dispute.

You agree to indemnify and hold harmless Yanance and its representatives from any claims, liabilities, losses, or expenses (including attorney’s fees) arising out of your breach of this agreement, violation of applicable laws, or infringement of any third-party rights.


8. Transactions on Yanance Marketplace

The Yanance platform facilitates peer-to-peer buying and selling of digital assets. All transactions are subject to this Agreement and any additional terms defined by the users involved.

8.1 Buying Digital Assets

  • Yanance does not charge buyers any fees for using its escrow services.

  • Each seller sets their own offer terms, including exchange rates and transaction speed.

  • You must carefully read and follow the seller’s terms. Failing to do so may result in rejection of your payment and loss of eligibility for dispute resolution.

Warning: If you submit payment without following the seller’s instructions, Yanance will not be able to help you recover your funds.

8.2 Dispute Resolution (Buyer's Side)

If the seller fails to release digital assets after you’ve fulfilled the terms, immediately report the issue using the dispute button in the transaction chat. Yanance’s support team will investigate and resolve the matter per our dispute policy. If you don’t follow this process, we may be unable to assist.

8.3 Selling Digital Assets

  • Sellers must verify and process buyer payments promptly as outlined in the offer terms.

  • Once verified, the seller is solely responsible for releasing the digital assets held in escrow.

  • If you, as a seller, fail to release assets as agreed, you may forfeit your claim to those assets.


8.4 Seller Responsibilities

  1. Risk and Liability: As a Seller, you bear full responsibility for any violations of this Agreement arising from your sale of Digital Assets. You are solely responsible for complying with all applicable tax laws and paying any associated taxes.

  2. Escrow Fees: Yanance charges Sellers a fee for locking Digital Assets in escrow during a transaction. These fees are non-refundable, even in cases of fraud, disputes, or violations of this Agreement, unless otherwise decided at Yanance’s sole discretion.

  3. Payment Confirmation: You must confirm full receipt and verification of payment before releasing Digital Assets from escrow. Yanance is not liable for losses resulting from prematurely releasing funds without verifying payment. Sellers must stay responsive and deactivate inactive offers.

  4. Advertising Restrictions: You may not promote external websites or services in any part of the Yanance Marketplace (bio, offer terms, or transaction chat). Only links to third-party payment processors used to complete transactions are permitted, and must be explicitly mentioned in the offer terms. These links must not include ads or contact information.


8.5 Compliance

  1. No Affiliation with Third Parties: Yanance and its Services are not affiliated, endorsed, or sponsored by any third-party entities, including gift card issuers. All brand names and trademarks belong to their respective owners.

  2. Gift Card Restrictions: Yanance is not a licensed gift card distributor or authorized dealer. Any gift cards received via the platform are subject to the issuing merchant’s terms. Yanance holds no responsibility for fees, expirations, or rules attached to those cards. You must be the rightful owner and eligible under law to use the gift card.

  3. No Brokering or Reselling: You may not broker or resell gift cards on Yanance. Upon request, you must provide proof of ownership (e.g., purchase receipts). Yanance disclaims all guarantees regarding third-party payment support or compatibility.

  4. Platform Exclusivity: All transactions must occur within Yanance’s platform. Moving transactions off-platform or sharing external contact information is strictly prohibited.


8.6–8.18 Additional Marketplace Terms

8.6. Transfer Limits: Yanance reserves the right to impose limits on the amount, frequency, or type of transfer transactions at its sole discretion.

8.7. No Guarantee of Sale: There is no guarantee that your Digital Assets will be bought or sold on the Marketplace.

8.8. Independent Relationship: Nothing in this Agreement creates a partnership, joint venture, or employment relationship between you and Yanance.

8.9. Accuracy of Information: You must ensure all information you submit is accurate. Yanance is not liable for errors you make (e.g., mistyped wallet address).

8.10. Irreversible Transactions: Once submitted to a blockchain network, transactions cannot be canceled or modified by Yanance. Digital Assets are stored on their respective blockchains, not by Yanance.

8.11. Taxes: You are responsible for determining and fulfilling any tax obligations resulting from your digital currency transactions.

8.12. User Reputation: Users may leave feedback or file confidential reports if they believe another user has violated this Agreement.

8.13. Transaction History: Your transaction history is available in your account. Lack of confirmation does not invalidate completed transactions.

8.14. Yanance Pay: Authorized Merchants may accept Yanance Pay for products or services. Your payment will either draw from your Digital Assets or connect you with a Seller.

8.15. Merchant Liability: Yanance is not responsible for any product or service you purchase from an Authorized Merchant. Disputes must be handled directly with the Merchant.

8.16. Refunds: All transactions are final. Refunds are at the sole discretion of the Authorized Merchant.

8.17. Service Fees: Yanance may charge fees, which will be displayed before use. We reserve the right to modify our fees at any time.

8.18. Banned Accounts & Maintenance Fee: Banned account holders must transfer their entire Digital Asset balance within 90 days. Failure to do so will incur a monthly maintenance fee of 1% of the total asset value or $1.00 USD, whichever is greater.


9. Disputing Transactions

9.1. Eligibility: Either party may initiate a dispute for a transaction marked as "paid" by the Buyer. Disputes cannot be initiated for canceled, expired, released, or previously resolved transactions.

9.2. Process:

  • Log in and click “Dispute” on the transaction.

  • Select your reason (e.g., unresponsive counterparty, payment issue).

  • Submit a description and any relevant evidence.

9.3. Instructions: Yanance may request additional proof during the dispute process. Failure to comply may result in a decision against you.

9.4. Responsiveness: You must remain active during a transaction. Failure to respond to Yanance Support within a given timeframe may result in a decision against you.

9.5. Chargebacks: Yanance is not responsible for chargebacks initiated via external payment methods, even after a dispute has been resolved.

9.6. Outcomes:

  • Buyer wins if: payment is proven, Seller is unresponsive, or payment was sent to a third party.

  • Seller wins if: Buyer fails to pay or pay in full, disputes payment externally, or is unresponsive.

  • Fraud or false claims will lead to immediate dispute resolution against the offending party and possible account suspension.

  • Split Decision: If evidence is inconclusive, Yanance may divide the Digital Assets between both parties.

9.7. Appeals: You may appeal a dispute decision within 10 calendar days by submitting a written request with supporting evidence.

9.8. Finality: Yanance’s decision is final and binding. We are not liable for dispute outcomes.


10. Yanance Service Fees

Creating a wallet is free. Service fees apply where indicated before use and are subject to change without notice.


11. No Right to Cancel Transactions

You may not cancel or receive refunds for confirmed Services or blockchain transactions, including miner fees.


12. Modification or Discontinuation of Services

Yanance may modify or discontinue any part of its Services at any time without notice or liability.


13. Suspension or Termination

13.1. Grounds for Action:
We may suspend or terminate your account or access to Services if:

  • Required by law or court order;

  • Suspected violation of this Agreement;

  • Ongoing investigations;

  • Incompatibility with service providers;

  • Security or risk concerns.

13.2. Notice:
We’ll attempt to notify you unless legally prohibited. We are not obligated to disclose internal risk or security processes.

13.3. Dormant Accounts:
Accounts inactive for a legally defined period may be reported as unclaimed property. Yanance may deduct administrative fees as allowed by law.

13.4. Mistaken Transfers:
If Digital Assets were transferred to your account in error, Yanance may reverse the transaction upon sufficient proof by the original sender.


14. Prohibited Use

When using our Services, you agree to act lawfully and ethically. You must not:

  • Use the Services for illegal activities;

  • Violate any applicable laws or third-party rights;

  • Attempt to circumvent Yanance’s controls or systems;

  • Use abusive or fraudulent tactics;

  • Engage in market manipulation or impersonation.


  • 14. Prohibited Activities

    You agree not to engage in any of the following prohibited activities:

    14.1. Service Disruption:
    Use our Services in any way that could interfere with, disrupt, negatively impact, or prevent other users from fully enjoying the Services. This includes actions that could damage, disable, overburden, or impair the proper functioning of the platform.

    14.2. Illegal Activities:
    Engage in any unlawful activity or assist others in doing so, including actions that violate laws, statutes, regulations, or sanctions in jurisdictions where we operate. This also includes disseminating unlawful content or information.

    14.3. User Harassment and Infringement:
    Interfere with other users’ access to the Services; harass, threaten, defame, abuse, stalk, or otherwise violate the legal rights (including privacy, publicity, and intellectual property rights) of others; promote hate speech, racial intolerance, or violence; or collect information about users without authorization.

    14.4. Fraud and Misrepresentation:
    Engage in any activity intended to deceive or harm Yanance or other users; or provide false, misleading, or inaccurate information to Yanance or users in connection with the Services or as otherwise requested under this Agreement.

    14.5. Unauthorized Access and Automation:
    Upload or introduce viruses, malware, or other harmful materials into the platform; use automated systems such as bots, scrapers, or crawlers without our express consent; attempt to bypass our content filters or gain unauthorized access to any part of the Services; or post ads or promotions intended to facilitate transactions outside of Yanance’s platform.

    14.6. Intellectual Property Violations:
    Transact in items that infringe on copyrights, trademarks, or other proprietary rights; use Yanance’s name, logo, trademarks, or intellectual property without prior written consent; create third-party applications that interact with our Services without authorization; or falsely imply an association with Yanance.

    14.7. Encouragement of Prohibited Acts:
    Encourage or enable any third party to engage in activities that violate this Section.


    15. Third-Party Services

    15.1. Use of Third-Party Services:
    You may choose to use services provided by third parties while accessing our Services (“Third-Party Services”). Use of such services is entirely at your discretion and may be governed by separate terms, conditions, and privacy policies established by those third parties. Yanance is not responsible for your use of such services or how those providers use your data.

    15.2. OnRamp.Money:
    If you choose to use OnRamp.Money’s services, you must agree to their separate Global Terms of Service and Privacy Policy. Please refer to their official site for details.

    15.3. Third-Party Transactions:
    All transactions conducted through Third-Party Services, including OnRamp, occur solely between you and the respective service provider or blockchain network. Yanance does not control and cannot reverse any such transactions, including associated fees (e.g., gas fees). We are not liable for any losses, claims, or damages resulting from these transactions.


    16. Intellectual Property Rights

    16.1. License and Restrictions:
    Yanance grants you a limited, non-exclusive, non-transferable license to access and use our Website, Services, and associated content (“Content”) strictly for approved purposes. Any unauthorized use—including copying, distributing, selling, reverse engineering, or creating derivative works—is strictly prohibited without prior written permission.

    16.2. Accuracy of Information:
    While we strive for accuracy, the information on our Website may be incomplete or outdated and may include typographical or technical errors. We may update content without notice. You are solely responsible for verifying all information before relying on it. We make no guarantees regarding third-party content or external links, and we are not responsible for their accuracy, content, or services.


    17. Feedback and User Submissions

    If you submit ideas, suggestions, or other materials to Yanance, you agree that:

    • Your submissions are not confidential and may be used without obligation or compensation.

    • You grant Yanance a perpetual, royalty-free, worldwide, non-exclusive license to use, modify, and distribute your submissions for any purpose.

    • You waive any applicable moral rights and confirm the submission is original and free of third-party rights.

    • Yanance may sublicense these rights to any affiliated party.

    • Yanance may remove any user-submitted content at its discretion.

    19. Force Majeure

    Yanance shall not be held liable for any delay, failure, or disruption in providing Services caused by events beyond our reasonable control. This includes natural disasters, wars, terrorism, labor disputes, internet outages, equipment failures, or other uncontrollable circumstances.


    20. Governing Law

    This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Panama, without regard to any conflict of laws principles.


    21. Severability

    If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Headings are for convenience only and do not affect the interpretation of the Agreement.


    22. Entire Agreement

    This Agreement constitutes the entire understanding between you and Yanance regarding your use of the Services and supersedes all prior agreements.
